Additionally, our services do not encompass domain registration or hosting services, though we may assist in guiding clients in obtaining these services from reputable providers.

7. Customization of Services:


Each client's project is unique, and we tailor our services to meet the specific requirements and goals of the client. The precise scope of work, deliverables, timelines, and any specific terms applicable to each project will be detailed in a separate project agreement or statement of work.

User Responsibilities

1. Provision of Information and Materials:


Clients are responsible for providing all necessary information, materials, and content required for the completion of their web project. This includes, but is not limited to, textual content, images, logos, and other digital assets. Clients must ensure that the information provided is accurate, complete, and delivered in a timely manner as per the agreed-upon project timeline.

2. Adherence to Payment Terms:


Clients agree to adhere to the payment terms outlined in the project agreement or statement of work. This includes timely payments of invoices, understanding the payment schedule, and abiding by any deposit requirements. Failure to meet payment obligations may result in delays or suspension of the project.

3. Respect for Intellectual Property:


Clients must guarantee that all materials provided for use in their web project, including text, images, and other content, are either their original work or that they have obtained the necessary permissions or licenses for their use. Clients are solely responsible for any copyright infringements or intellectual property violations resulting from materials they provide.

4. Cooperation and Communication:


Effective and timely communication is crucial for the successful completion of web projects. Clients are expected to cooperate with GURUS Communications by providing timely feedback, approvals, and decisions necessary for the progression of the project.

5. Acknowledgment of Project Scope:


Clients must acknowledge and respect the boundaries of the project scope as agreed upon in the project agreement. Requests for additional features or services beyond the original scope may result in revised timelines and additional costs.

6. Compliance with Legal and Regulatory Standards:


Clients are responsible for ensuring that their website complies with all applicable laws, regulations, and industry standards. This includes adherence to data protection laws, accessibility standards, and any sector-specific regulations.

Payment Terms

1. General Payment Structure:


For all web development projects, GURUS Communications adopts a structured payment approach to ensure clarity and consistency. This typically includes an initial deposit, followed by milestone-based payments or a final payment upon completion of the project, as detailed in the individual project agreement or statement of work.

2. Deposits:


An upfront deposit is required for all custom web development projects. This deposit is non-refundable and is necessary to secure the project's initiation. The exact deposit amount and terms will be specified in the project agreement.

3. Payment Schedule:


Payment schedules will be clearly outlined in each project agreement. For custom projects, invoices will be issued at various project milestones, as agreed upon. For small website contracts, payment for the standard web product is required upfront before work commences.

4. Acceptable Payment Methods:


GURUS Communications accepts electronic payments through Stripe, PayPal, or Wave. We do not accept cash or checks, except in special circumstances where arrangements have been made with our accounts receivable department. All electronic payment transactions are secure and must be made in accordance with the instructions provided on the invoice.

5. Late Payments:


Payments are due as per the dates specified in the invoice. Late payments may incur additional charges or interest and could result in a delay or suspension of the services provided. Clients experiencing difficulties in meeting payment deadlines are encouraged to contact us at the earliest to discuss potential arrangements.

6. Project Completion and Final Payment:


Upon project completion, any outstanding balance must be cleared before the final deliverables are handed over to the client. GURUS Communications reserves the right to withhold delivery of the final product until full payment is received.

7. Refunds and Cancellations:


Details regarding refunds and cancellation policies will be explicitly stated in the project agreement. Generally, the initial deposit is non-refundable, and any request for project cancellation must be submitted in writing.

Intellectual Property Rights

1. Ownership of Intellectual Property:


Upon full payment for the completed project, the client will obtain ownership of the final website design and content as delivered. This includes the visual elements, text content, and any graphics created specifically for the project. The ownership transfer does not include any underlying software, platforms, or source code developed by GURUS Communications, which remains the property of GURUS Communications or its licensors.

2. Rights to Source Code and Software:


The source code and any software used in building the website, including but not limited to content management systems, scripts, and applications, remain the intellectual property of GURUS Communications or the respective third-party providers. Clients will receive a license to use this code and software as part of the website, but they will not own it.

3. Use of Third-Party Assets:


Any third-party assets (such as stock photos, third-party plugins, or software) used in the project will be subject to the terms and conditions of the respective licensors. It is the client’s responsibility to adhere to these terms.

4. Pre-Existing Intellectual Property:


Any pre-existing intellectual property owned by GURUS Communications or third parties that is used in the project will remain the property of its respective owners. Clients will be granted a license to use such intellectual property as part of the website, subject to the terms of the project agreement.

5. Portfolio Rights:


GURUS Communications reserves the right to display and link to the completed project as part of our portfolio and to use it for marketing purposes, unless specifically agreed otherwise with the client.

6. Client Content:


Clients guarantee that all elements of text, images, or other artwork provided to GURUS Communications are either owned by the client or that the client has permission to use them. Clients will hold harmless, protect, and defend GURUS Communications from any claim or suit arising from the use of such elements.

Limitation of Liability

1. General Limitation:


GURUS Communications shall not be liable for any damages that result from the use of, or the inability to use, the materials and services provided. This includes but is not limited to, damages for loss of profits, data loss, or business interruption. This limitation of liability applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages; loss of data, income, or profit; loss of or damage to property; and claims of third parties.

2. Service Delays and Interruptions:


GURUS Communications is not liable for any delays or interruptions of service due to external factors beyond our control, including but not limited to, technical failures, acts of God, or communications failures. We strive to provide timely and continuous service to our clients, but we do not guarantee uninterrupted service and shall not be liable for any consequences resulting from such interruptions.

3. Data Loss:


While GURUS Communications implements best practices to safeguard your data, we are not responsible for any loss of data that may occur during the development, maintenance, or after the launch of the website. Clients are encouraged to regularly back up their data.

4. Use of the Website:


The client agrees that the use of the completed website is at their sole risk. GURUS Communications shall not be liable for any damages arising from the use of the website, including but not limited to, the representation or misrepresentation of products or services on the site, any malfunctions, security breaches, or any other issues that may arise after the handover of the website.

5. Third-Party Services and Products:


GURUS Communications is not liable for any deficiencies or issues arising from third-party services or products used in the website, including hosting services, e-commerce platforms, and any other third-party tools or integrations. Clients are responsible for ensuring that any third-party services or products meet their requirements and comply with applicable laws and regulations.

6. Maximum Liability:


In any event, the maximum liability of GURUS Communications, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the client for the services provided under the project agreement.

7. Acknowledgment of Terms:


By engaging GURUS Communications for web development services, the client acknowledges and agrees to these limitations of liability and understands that these terms are an essential basis of the agreement between the client and GURUS Communications.

Termination of Services

1. Fixed-Term Agreements:


Agreements that specify a fixed term cannot be terminated prematurely by either party, except under conditions specified herein. This policy is in place to ensure that GURUS Communications can meet its forecasting and planning goals.

2. Termination for Unsatisfactory Service:


If a client wishes to terminate their contract due to unsatisfactory service delivery on the part of GURUS Communications, they must submit a formal request in writing, accompanied by supporting evidence, through our support portal at guruscommunications.com/support. A minimum notice period of 30 days is required for such termination requests. GURUS Communications will review the request and, if justified, may agree to the termination.

3. Refund Policy:


Refunds are not provided for services already rendered. Any payments made for services completed are final and non-refundable. Clients are encouraged to engage in open communication with GURUS Communications throughout the service delivery to ensure satisfaction and address any concerns as they arise.

4. Handoff of Completed Work:


Upon the completion of services or in the event of contract termination, a handoff meeting will be scheduled with the client. During this meeting, GURUS Communications will review the details of the completed work, transfer all necessary authentication credentials, and ensure the client has all they need to independently manage and operate their website.

5. Termination by GURUS Communications:


GURUS Communications reserves the right to terminate a partnership with any client if it is determined that the client is using the work produced by GURUS Communications for illegal activities (as defined by United States or its territories' laws) or unethical practices. In such cases, GURUS Communications will provide written notice of termination to the client.

6. Effect of Termination:


Upon termination, all rights and licenses granted to the client will cease, and the client must cease all use of any work or materials provided by GURUS Communications. Any outstanding payments for services rendered up to the point of termination will become immediately due.

Governing Law and Dispute Resolution

1. Governing Law:


These Terms and Conditions and any separate agreements whereby GURUS Communications provides services shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

2. Dispute Resolution – Arbitration Agreement:


In the interest of resolving disputes between you and GURUS Communications in the most expedient and cost-effective manner, you and GURUS Communications agree that every dispute arising in connection with these Terms and Conditions will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award.

3. Arbitration Rules:


The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this Arbitration Agreement. The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879.

4. Arbitration Process:


A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

5. Arbitrator's Decision:

The arbitrator's decision will be binding.
