Governing Law and Dispute Resolution

1. Governing Law:

These Terms and Conditions and any separate agreements whereby GURUS Communications provides services shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

2. Dispute Resolution – Arbitration Agreement:

In the interest of resolving disputes between you and GURUS Communications in the most expedient and cost-effective manner, you and GURUS Communications agree that every dispute arising in connection with these Terms and Conditions will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award.

3. Arbitration Rules:

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this Arbitration Agreement. The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879.

4. Arbitration Process:

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

5. Arbitrator's Decision:

The arbitrator's decision will be binding.

We will provide relevant information about the third-party service and obtain the client's approval before integration. This ensures that our clients are fully aware of and comfortable with the external components used in their websites.

3. Client’s Role in Third-Party Services:

In many cases, third-party services require direct interaction with the client, such as account creation, subscription management, or payment of service fees. We will guide our clients through this process but it is ultimately the client’s responsibility to manage their accounts and adhere to the terms of service of the third-party provider.

4. Adherence to Third-Party Terms:

Clients are advised that the use of third-party services will be subject to the terms and conditions set by the respective service providers. Clients should review these terms to understand their rights and obligations.
